Terms of Service

1. Preamble

These Terms of Service govern access to and use of the Elric application, published by Accelerhate SAS.

Accelerhate SAS — simplified joint-stock company with share capital of EUR 99 — registered office: 31 Rue de la Rive, 44230 Saint-Sébastien-sur-Loire, France — Nantes Trade and Companies Register: 989 119 672 — intra-community VAT: FR18989119672.

In these Terms, “Accelerhate”, “Elric”, or “we” refer to the publisher of the Service.

2. Purpose

These Terms define the conditions under which Accelerhate makes the Service available to the user, and the rights and obligations of the parties.

The Service is an artificial-intelligence assistant for businesses, enabling document search, data analysis, content drafting, task management, and meeting summaries through customizable AI agents.

3. Acceptance of the Terms

Use of the Service implies full acceptance of these Terms when creating an account.

If you do not accept these Terms, you must not use the Service.

Accelerhate may modify the Terms at any time. Substantial changes will be notified at least 30 days before they take effect.

4. Description of the Service

Elric provides features including, without limitation:

  • A document Vault to store, organize, and search your documents.
  • Customizable AI agents capable of executing complex tasks.
  • An AI manager that routes requests to the appropriate agents and remembers company context.
  • Third-party integrations enabled at your discretion.
  • A dashboard tracking time saved and agent activity.
  • Online meeting transcription and summaries through Recall.ai.

5. Account creation and Service access

Access to the Service requires creating a user account. You agree to:

  • Provide accurate, complete, and up-to-date information.
  • Keep your login credentials confidential.
  • Immediately report any unauthorized use of your account.
  • Not share your account with unauthorized third parties.

6. Third-party integrations and authorizations

The Service may connect to third-party services via OAuth, only when explicitly enabled by the user.

For any irreversible or external action, such as sending email, publishing, or calling a third-party API, Elric requires mandatory human approval.

You may revoke Elric’s access to a third-party service at any time from settings.

7. Limits of artificial intelligence

Elric relies on generative AI models. You acknowledge that:

  • Outputs may contain errors, approximations, or inaccuracies.
  • AI responses do not constitute binding legal, tax, medical, financial, or professional advice.
  • The same inputs may produce different outputs.
  • You must verify and validate generated information before using it.
  • Accelerhate does not guarantee any specific result, quality level, or accuracy rate.

8. User obligations — prohibited uses

You agree to use the Service in compliance with applicable laws and regulations. The following are strictly prohibited:

  • Any illegal, fraudulent, or harmful use.
  • Distribution of infringing, defamatory, hateful, discriminatory, obscene, or unlawful content.
  • Any attempt to compromise the security of the Service.
  • Use of the Service to generate spam, phishing campaigns, or misleading content.
  • Resale, sublicensing, or rental of the Service without prior written agreement.
  • Training competing AI models using Service outputs.
  • Uploading third-party personal data without an appropriate legal basis.
  • Uploading classified content or content incompatible with these Terms.

9. Intellectual property

The Elric platform, including code, interface, database, brand, logos, and documentation, remains the exclusive property of Accelerhate.

Your documents, data, and content remain your property. You grant Accelerhate a limited license to host, process, and analyze them solely to provide the Service.

Subject to compliance with these Terms, you have broad commercial usage rights over outputs generated by Elric agents from your inputs.

10. Personal data and confidentiality

Processing of your personal data is detailed in our Privacy Policy, which forms an integral part of these Terms.

Accelerhate implements appropriate technical and organizational security measures. For more details, see our Security page.

11. Pricing, billing, and payment

The Service is offered under monthly or annual subscription plans detailed on the pricing page. Prices are stated in euros excluding taxes.

Payments are processed by Stripe. No card data is stored on our servers.

Subscriptions renew automatically at each term unless cancelled before renewal.

In the event of payment failure, Accelerhate may suspend access after a 7-day cure period.

Because subscriptions are reserved for professionals (B2B), consumer withdrawal rights do not apply.

12. Term, suspension, and termination

These Terms are entered into for an indefinite period from account creation.

You may terminate your account at any time from settings. Termination takes effect at the end of the current paid period.

Accelerhate may suspend or terminate an account in case of serious breach, unpaid invoices, security issues, discontinuation of the Service, or substantial change to the business model.

After termination, your data will be deleted within 30 days, except where legal retention obligations apply.

13. Service availability

Accelerhate uses reasonable efforts to ensure high Service availability, without guaranteeing uninterrupted availability.

Interruptions may occur for maintenance, updates, technical incidents, or failure of a third-party provider.

A specific SLA may be negotiated for Enterprise plans.

14. Limitation of liability

To the extent permitted by French law:

  • The Service is provided “as is”, without express or implied warranty.
  • Accelerhate’s liability is limited to direct and foreseeable damages.
  • Indirect damages, lost revenue, lost data, lost opportunity, and reputational harm are excluded.
  • Accelerhate’s cumulative liability is capped at the amounts actually paid by the user over the previous twelve months.

15. Force majeure

Neither party may be held liable for a breach caused by force majeure under French law.

16. Assignment

The user may not assign rights under these Terms without Accelerhate’s prior written consent.

Accelerhate may assign all or part of its rights and obligations, including in connection with a merger, acquisition, contribution, or reorganization.

17. Severability

If any provision is declared null or unenforceable, the remaining provisions will remain in effect.

18. Governing law and jurisdiction

These Terms are governed by French law.

Any dispute falls under the exclusive jurisdiction of the courts within the jurisdiction of the Rennes Court of Appeal.

The parties agree to seek an amicable solution before any legal action.
